Violation of any of the above prohibitions may result in immediate termination of your account and access to our Services, and may subject you to civil and/or criminal liability under applicable law.

5. Intellectual Property Rights

All content, materials, and features available on or through the Site, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, the "Dewey's Pizza" name and brand, and the overall look and feel of the Site (collectively, the "Content"), are the exclusive property of Dewey's Pizza or its licensors and are protected by applicable United States and international copyright, trademark, trade dress, patent, and other intellectual property laws.

Subject to your compliance with these Terms, Dewey's Pizza grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site and its Content solely for your personal, non-commercial use in connection with the Services. 6.5 Refunds and Cancellations

Due to the perishable nature of food products, all sales are generally final once an order has been prepared. Estimated delivery times provided during the ordering process are estimates only and are not guaranteed. You are responsible for ensuring that someone is available at the designated delivery address to receive the order. If no one is available to accept delivery, we may attempt to contact you using the information provided during checkout. Dewey's Pizza reserves the right to charge for orders that cannot be delivered due to an incorrect address or an unavailable recipient.

8. Disclaimers and "As-Is" Basis

YOUR USE OF THE SITE AND SERVICES IS AT YOUR SOLE RISK. THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

Dewey's Pizza, its officers, directors, employees, agents, suppliers, and licensors make no warranty that:

• The Site or Services will be uninterrupted, timely, secure, or error-free.
• The results that may be obtained from the use of the Site or Services will be accurate, reliable, or meet your requirements.
• The quality of any products, services, information, or other material purchased or obtained by you through the Services will meet your expectations.
• Any errors in the Site or Services will be corrected.

Dewey's Pizza does not warrant or make any representations regarding the accuracy, reliability, or completeness of the nutritional and allergen information provided on the Site. Customers with food allergies or dietary restrictions are encouraged to contact us directly to verify ingredient information before placing an order. We cannot guarantee that our food products have not come into contact with allergens during preparation.

No advice or information, whether oral or written, obtained from Dewey's Pizza or through the Site, shall create any warranty not expressly stated in these Terms. Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you to the extent prohibited by applicable law.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DEWEY'S PIZZA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, LICENSORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE OR SERVICES, EVEN IF DEWEY'S PIZZA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DEWEY'S PIZZA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO DEWEY'S PIZZA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100.00).

The limitations of liability set forth in this section reflect a fair allocation of risk between the parties and form an essential basis of the bargain between the parties. These limitations shall apply even if any limited remedy fails of its essential purpose. Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation or exclusion may not apply to you to the extent prohibited by applicable law.

10. Indemnification

You agree to defend, indemnify, and hold harmless Dewey's Pizza and its officers, directors, shareholders, employees, agents, contractors, licensors, service providers, subcontractors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your use of or access to the Site or Services in violation of these Terms.
• Your violation of any applicable federal, state, or local law or regulation.
• Your violation of any third-party rights, including but not limited to intellectual property rights, privacy rights, or publicity rights.
• Any content or information you submit, post, or transmit through the Site or Services.
• Your fraudulent, negligent, or willful misconduct.
• Any dispute or issue between you and any third party.

Dewey's Pizza reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with Dewey's Pizza in asserting any available defenses. You agree not to settle any such matter without the prior written consent of Dewey's Pizza.

11. Third-Party Links and Services

The Site may contain links to third-party websites, applications, or services that are not owned or controlled by Dewey's Pizza. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. We do not warrant the offerings of any third parties or their websites.

You acknowledge and agree that Dewey's Pizza shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any content, goods, or services available on or through any third-party website or service. We strongly encourage you to review the terms of service and privacy policies of any third-party websites or services that you visit.

In addition, we may use third-party service providers to facilitate payment processing, order management, delivery logistics, analytics, marketing, and other business functions. Your interactions with these third-party service providers are governed by their respective terms of service and privacy policies.

These Terms and any dispute or claim arising out of or related to these Terms, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States of America and the applicable laws of the state in which Dewey's Pizza is registered and operates, without regard to conflict of law principles.

Subject to the dispute resolution provisions set forth in Section 14 below, you irrevocably submit to the personal jurisdiction of the state and federal courts located within the applicable jurisdiction in the United States for the resolution of any disputes not subject to arbitration, and you waive any objection to the laying of venue of any such proceedings in such courts.

You agree that any cause of action or claim you may have arising out of or relating to these Terms or your use of the Services must be commenced within one (1) year after the cause of action accrues; otherwise, such cause of action is permanently barred.

14. Dispute Resolution

14.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact Dewey's Pizza at [email protected] and provide a written description of the dispute, your name, contact information, and the nature of your claim or complaint. The parties agree to attempt in good faith to resolve the dispute informally within thirty (30) days of the date of the written notice. If the dispute is not resolved within this period, either party may proceed to formal dispute resolution as described below.

14.2 Binding Arbitration

EXCEPT FOR DISPUTES THAT QUALIFY FOR SMALL CLAIMS COURT, ALL DISPUTES ARISING OUT OF OR RELATED TO THESE TERMS OR THE USE OF OUR SERVICES SHALL BE RESOLVED THROUGH FINAL AND BINDING ARBITRATION, RATHER THAN IN COURT, IN ACCORDANCE WITH THE COMMERCIAL ARBITRATION RULES OF THE AMERICAN ARBITRATION ASSOCIATION (AAA), WHICH ARE AVAILABLE AT www.adr.org.

The arbitration shall be conducted by a single arbitrator. The language of arbitration shall be English. The arbitration shall take place in the United States, and the arbitrator's award shall be final and binding. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction. The arbitrator shall have the authority to award any remedy or relief that a court of competent jurisdiction could order or grant, but may not award relief beyond what is available under applicable law.

The costs of arbitration, including arbitrator fees, shall be shared equally between the parties unless the arbitrator determines that one party should bear a greater portion of such costs due to bad faith or frivolous claims.

14.3 Class Action Waiver

YOU AND DEWEY'S PIZZA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. Further, unless both you and Dewey's Pizza agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of class or representative proceeding.

14.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek emergency or preliminary injunctive relief from a court of competent jurisdiction in order to prevent irreparable harm, without waiving the right to have all other disputes resolved through arbitration. Additionally, claims that properly fall within the jurisdictional limits of a small claims court may be adjudicated in such court.

15. Term and Termination

These Terms shall remain in full force and effect while you use the Site or Services or maintain an account with us. Dewey's Pizza reserves the right, in its sole discretion, to suspend or terminate your access to the Site and Services, your account, or any part thereof, at any time and for any reason, including but not limited to your breach of these Terms, with or without notice and without liability to you.

You may terminate your account at any time by contacting us at [email protected] and requesting account deletion. Upon termination, your right to use the Services will immediately cease. However, all provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitation of liability, indemnification, and dispute resolution provisions.

Any termination of your access to the Services shall not relieve you of any obligations or liabilities that have accrued prior to the date of termination, including any outstanding payment obligations.

16. Changes to Terms

Dewey's Pizza reserves the right to modify, update, or revise these Terms at any time in its sole discretion. The remaining provisions of these Terms shall continue in full force and effect and shall not be affected or invalidated by any such determination. The parties agree that any such modification or severance shall not affect the intent of the parties as expressed in these Terms to the greatest extent possible.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices, policies, or guidelines published by Dewey's Pizza on the Site, constitute the entire agreement between you and Dewey's Pizza with respect to your use of the Site and Services, and supersede all prior and contemporaneous agreements, understandings, representations, or warranties, whether oral or written, regarding the subject matter hereof.

No waiver by Dewey's Pizza of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Dewey's Pizza to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

19. Force Majeure

Dewey's Pizza shall not be liable for any failure or delay in the performance of its obligations under these Terms to the extent that such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government actions or regulations, civil unrest, labor disputes, utility failures, Internet outages, cyberattacks, or supply chain disruptions. In the event of such a force majeure event, we will make reasonable efforts to notify you and resume performance as soon as practicable.

20. No Waiver

The failure of Dewey's Pizza to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. A waiver of any default shall not constitute a waiver of any subsequent default. No waiver by Dewey's Pizza shall be effective unless made in writing and signed by an authorized representative of Dewey's Pizza.

21. Assignment

You may not assign, transfer, delegate, or sublicense any of your rights or obligations under these Terms without the prior written consent of Dewey's Pizza. Dewey's Pizza may freely assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets. Any purported assignment in violation of this section shall be null and void. These Terms shall be binding upon and inure to the benefit of the parties and their respective permitted heirs, successors, and assigns.

By using our Site or Services, you consent to receiving electronic communications from Dewey's Pizza, including but not limited to emails, text messages, in-app notifications, and other communications relating to your account, orders, and promotional offers. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
